These Terms and Conditions (“Terms”) govern your access to and use of Adjace (adjace.com), an online church and organization directory service operated by Deft Flux (“we,” “us,” or “our”). By creating an account, logging in, or otherwise using Adjace, you agree to these Terms. If you do not agree, do not use the service.
These Terms work together with our Privacy Policy, which describes how we collect, use, and protect personal information.
1. Who May Use Adjace
Adjace is intended for churches, ministries, and other organizations (“Organizations”) and the individuals they authorize to use the directory (“Users”).
- Organization administrators must be authorized representatives of the Organization and must provide accurate registration information.
- Directory Users must register with an email address that matches the Organization’s records, complete any required verification steps, and use the service only for legitimate directory purposes.
- You must be at least 13 years old to use Adjace. If you are under 18, you should use Adjace only with the consent of a parent, guardian, or Organization administrator.
2. Description of the Service
Adjace provides an online membership directory that Organizations may synchronize with supported church management systems (such as Planning Center). Features may include profile editing, household views, printable directories, landing pages, and administrative tools. We may add, change, or discontinue features at any time.
3. Accounts and Security
You are responsible for:
- Keeping your login credentials confidential;
- All activity that occurs under your account;
- Notifying us promptly if you believe your account has been compromised; and
- Ensuring that information you provide is accurate and kept up to date.
We may suspend or terminate accounts that violate these Terms or pose a security risk.
4. Organization Administrator Responsibilities
If you administer an Organization on Adjace, you agree that you will:
- Use Adjace only in compliance with applicable laws and regulations;
- Control what membership data is synchronized to Adjace and who may access it through your Organization’s settings;
- Respect the privacy choices of your members, including any opt-out settings you configure;
- Not use Adjace to send spam, harassment, or other unsolicited bulk communications; and
- Ensure that any custom user agreement or policies you publish through Adjace do not conflict with these Terms or applicable law.
Your Organization retains ownership of the membership data you synchronize to Adjace. You grant Deft Flux a limited license to host, process, and display that data solely to provide the service to you and your authorized Users.
5. Acceptable Use
You may not use Adjace to:
- Violate any law or third-party rights;
- Access data or accounts you are not authorized to access;
- Probe, scan, or test the vulnerability of our systems without permission;
- Interfere with or disrupt the service or its infrastructure;
- Reverse engineer or attempt to extract source code except where permitted by law;
- Scrape, harvest, or export directory data for unrelated commercial purposes; or
- Use the service for any purpose that is fraudulent, abusive, or harmful.
6. Text Messages (SMS)
Adjace may send text messages to a mobile phone number you provide. These messages are transactional and security-related only. They may include:
- One-time verification codes for account or phone-number verification;
- Two-factor authentication (2FA) login codes; and
- Other account-security notifications related to actions you initiate.
Adjace does not use SMS to send marketing or promotional messages to directory members. We do not and never will sell or share mobile phone numbers with third parties for their promotional or marketing purposes.
By providing your mobile number and requesting a verification or security code, you agree to receive these automated messages from Adjace (Deft Flux). Message frequency varies and depends on your use of security features. Message and data rates may apply.
You may opt out of future SMS messages at any time by replying STOP. For help, reply HELP or contact us at support@deftflux.com. After you opt out, we may send one final message confirming that your opt-out request was processed. Opting out of SMS may limit your ability to use phone-based verification or SMS two-factor authentication.
SMS messages may be delivered through telecommunications service providers (such as Twilio) acting on our behalf. See our Privacy Policy for more information about how we handle phone numbers and related data.
7. Email Communications
We may contact Organization administrators by email about service updates, billing, security notices, and other administrative matters. We may contact Users by email for account verification, password reset, and similar account-related purposes.
8. Subscriptions, Billing, and Payment
Paid Organizations are billed according to the subscription plan selected at signup or renewal. Payment processing is handled by Stripe (stripe.com). We do not store full payment card numbers on our servers.
- Subscription fees are billed in advance on a recurring basis unless otherwise stated.
- You authorize us (through Stripe) to charge your payment method for applicable fees.
- Failure to pay may result in suspension or termination of your Organization’s account.
- Except where required by law, fees are non-refundable. Any refund policy will be stated at the time of purchase.
- We may change pricing with reasonable notice before your next billing cycle.
Organization administrators may cancel a subscription from the settings/subscription area. Cancellation stops future billing but does not automatically delete data; see Section 10.
9. Intellectual Property
Adjace, including its software, design, logos, and documentation, is owned by Deft Flux or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use Adjace for your Organization’s internal directory purposes while your account is in good standing.
You may not copy, modify, distribute, sell, or lease any part of Adjace except as expressly permitted by these Terms or by us in writing.
10. Data Removal and Termination
Users may delete their own accounts from the profile page. Organization administrators may remove their Organization’s account from the settings/subscription page. When an account is removed, we will delete or de-identify associated data in accordance with our data retention practices and applicable law.
We may suspend or terminate access to Adjace immediately if you breach these Terms, fail to pay applicable fees, or if continued service would create legal or security risk.
11. Disclaimers
Adjace is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that Adjace will be uninterrupted, error-free, or free of harmful components. Directory accuracy depends in part on data synchronized from your Organization’s source systems and on information entered by Users.
12. Limitation of Liability
To the fullest extent permitted by law, Deft Flux and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business opportunity, arising out of or related to your use of Adjace.
Our total liability for any claim arising out of or related to these Terms or Adjace will not exceed the greater of (a) the amount you paid us for Adjace in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Deft Flux from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of Adjace, your violation of these Terms, or your violation of any law or third-party rights.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Material changes may also be communicated by email to Organization administrators or by a notice within Adjace. Your continued use of Adjace after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the United States and the great state of Wisconsin, without regard to conflict-of-law principles. Any dispute arising under these Terms will be brought in the courts located in that state, unless applicable law requires otherwise.
16. General
- Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Deft Flux regarding Adjace.
- Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
